Evaluation of the effectiveness of the Board of Directors

In order to analyze and evaluate the overall effectiveness of the Board of Directors, the Board conducts self-evaluations of each director and auditor, and revies the operation of the Board to further strengthen its supervisory function.

Results for the fiscal year 2024

Based on the self-evaluation conducted with the involvement and advice of a third-party organization in April 2024, the operation and effectiveness of the Board of Directors for the fiscal year 2023 were found to be effective. We analyzed and evaluated that there were active discussions on various management issues such as business strategy, capital policy, facility investment, and corporate governance.

Future initiatives

In this self-evaluation, we identified challenges such as constructive exchange of opinions between internal and external directors, enhancing training opportunities including external directors, and strengthening the governance structure of the entire group including subsidiaries. The Board of Directors will continue to discuss these challenges and strive to improve effectiveness in order to further enhance its supervisory function.
